Terms of service
These terms explain how we work together. Items marked as unconfirmed are commercial terms that must be set by Converant before these terms are relied on — they are not stated as fact here.

About these terms
These terms apply between [TO CONFIRM — registered legal business name and legal form] trading as Converant ("we", "us") and the person or business engaging us ("you", "the client").
Our services are supplied primarily to businesses. Where we knowingly supply services to a consumer — someone acting mainly outside their trade, business or profession — additional statutory cancellation, information and fairness requirements apply and are handled separately from these business terms.
Where we issue a written proposal, quote or statement of work, that document and these terms are read together. If they conflict, the proposal takes precedence for the matters it covers.
Scope of services
We provide website design and build services, and optional ongoing care and support. What is included in your engagement is defined by the confirmed quote or proposal — anything not listed there is out of scope until agreed in writing.
Quotes and forming a contract
Prices shown on this website and figures produced by the project configurator are estimates. They are not offers and do not bind either party.
A contract is formed when we issue a confirmed price for your project and you accept it — by written acceptance or by paying the amount or deposit due.
Quote validity period: [Commercial term to be confirmed — how long a confirmed quote stays open].
Payments
Fees are the confirmed amounts shown for your project in the client portal. Payments are taken through our payment processor.
- Deposit and payment schedule: [Commercial term to be confirmed — deposit, upfront percentage, milestone and final payments]
- Invoice payment terms: [Commercial term to be confirmed — invoice payment window]
- Late payment: [Commercial term to be confirmed — late-payment rules, interest or charges]
- VAT: [TO CONFIRM — VAT registration status and whether prices include or exclude VAT]
Prices are in pounds sterling unless stated otherwise.
Recurring services
Where monthly care or support is enabled for your project, it is billed as a recurring subscription from the date it is activated, until cancelled.
- Minimum term, if any: [Commercial term to be confirmed — minimum commitment for recurring support]
- Notice to cancel: [Commercial term to be confirmed — cancellation notice period]
- Price changes: we will give reasonable written notice before a recurring price changes. Notice period: [Commercial term to be confirmed — notice period for recurring price changes]
Cancelling a subscription stops future charges; it does not refund periods already served unless stated otherwise in your proposal.
Your responsibilities
- provide accurate information, content and access when needed;
- nominate a person who can give feedback and approvals;
- respond to requests within a reasonable time;
- hold the rights to everything you send us;
- maintain your own accounts with third-party services you own.
Project materials
Materials you upload (briefs, images, documents, brand assets) are used only to deliver your project. Keep your own copies — we are not a backup service for your originals.
Timelines and delays
Timelines are estimates based on agreed scope and timely input from you. Where delivery depends on content, feedback or access from you, dates move if those are late. We will tell you when a dependency is holding work up. Specific client-delay rules: [Commercial term to be confirmed — client-delay rules, including any pause or re-scheduling charge]
Revisions
Revision rounds included in your project are set out in the confirmed quote. Further revisions are charged at our then-current rate.
Default included rounds: [Commercial term to be confirmed — revision limits and project time limits]
Changes to scope
Either of us can propose a change. Changes affecting cost or timeline are confirmed in writing, including any adjustment, before the additional work starts.
Third-party services
Projects may rely on third-party services such as payment providers, booking tools, email delivery or maps. Those services are governed by their own terms and pricing, and we are not responsible for their availability, changes or charges.
Domains and hosting
Wherever practical, domains are registered in your name and remain your property. Hosting and infrastructure arrangements, including who holds the account and who pays the provider, are set out in your proposal.
Standard arrangement: [Commercial term to be confirmed — domain ownership, hosting ownership, renewals and migration/handover obligations]
Intellectual property
You own the content you supply — see the section on client content and uploads below.
Ownership of the bespoke designs, code and final deliverables we create for you, and of our reusable components, frameworks and techniques, is being finalised as part of our commercial terms and is not stated as fact here: [Commercial term to be confirmed — bespoke deliverable ownership and reusable Converant component ownership]
Licences
Until full payment is received, you have a limited, revocable licence to use the deliverables for review purposes only.
Where deliverables incorporate our reusable components or third-party licensed assets, you receive a perpetual, non-exclusive licence to use them as part of your site. Third-party assets remain subject to their own licences.
Portfolio use: we may reference completed work in our portfolio unless you ask us not to. [Commercial term to be confirmed — portfolio and display rights]
Confidentiality
Each of us will keep the other's non-public information confidential, use it only for the project, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
Acceptable and prohibited use
Our services and any site we host or maintain must not be used to:
- break the law or infringe someone else's rights;
- publish unlawful, defamatory or harmful material;
- send unsolicited bulk messages;
- distribute malware or attempt to gain unauthorised access;
- place a deliberately excessive or abusive load on shared infrastructure.
Client content, uploads and intellectual property
You keep ownership of everything you provide to us — images, logos, video, documents, copy, branding and any other material you upload or send. Uploading material to us does not by itself transfer ownership or copyright to Converant.
You grant us a limited licence to store, copy, process, resize, modify, reproduce and display the material you provide, only to the extent reasonably necessary to deliver the services you have engaged us for.
- You must own the material you provide, hold a valid licence for it, or otherwise have permission to use it for the purpose of your project.
- You must not knowingly provide material that infringes another person's copyright, trademark, privacy or other legal rights.
- Where ownership or permission is disputed, we may stop using, remove or disable the material concerned while the position is investigated.
- We may decline to publish content we reasonably believe is unlawful or harmful.
Ownership of the work we create is dealt with separately under intellectual property and remains pending confirmation.
Testing and acceptance
We will tell you when a deliverable is ready for review. Please review it and either approve it or give consolidated feedback within the review window.
Review window and deemed acceptance: [Commercial term to be confirmed — review period and whether silence constitutes acceptance]
Support
Post-launch fixes and ongoing care are provided where your project includes them. Details are on the support page and in your proposal.
- Post-launch fix period included: [Commercial term to be confirmed — post-launch fix period]
- Support response targets: [Commercial term to be confirmed — support response times, working hours and maintenance scope]
Suspension
We may pause work or suspend a service where an invoice is materially overdue, where we cannot proceed without input from you, or where continuing would breach the law or the acceptable-use section. We will give notice before suspending wherever possible.
Termination
Either party may end an engagement in writing if the other materially breaches these terms and does not put it right within a reasonable period after being asked to.
On termination, you pay for work properly carried out up to that date, and each party returns or deletes the other's confidential information on request.
Cancellation and refunds
Cancellation and refund terms are commercial terms specific to Converant and are not stated here until confirmed: [Commercial term to be confirmed — refunds, cancellation charges and deposit refundability]
Consumer cancellation rights: where you contract with us as a consumer rather than a business, statutory cancellation rights may apply, and any agreement to start work within the statutory cancellation period will be recorded in writing before we begin. [TO CONFIRM — consumer-contract handling — to be confirmed with a legal adviser]
Nothing in these terms removes rights you have by law.
Liability
We do not exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything else that cannot lawfully be limited.
Subject to that, neither party is liable for indirect or consequential loss, and our total liability arising from an engagement is limited to the fees paid or payable by you for that engagement in the twelve months before the claim.
We are not liable for loss caused by third-party services outside our control, or by content you supply. Limits applicable to consumers are subject to your statutory rights. [TO CONFIRM — liability cap and whether professional indemnity insurance is held]
Data protection
Each party will comply with applicable data-protection law. Where we handle personal information on your behalf, we do so on your documented instructions, apply appropriate security measures, and support you with rights requests and breach notification. Our own handling of personal information is described in the privacy notice.
A separate data-processing agreement is available where required: [TO CONFIRM — whether a signed DPA template exists]
Events outside our control
Neither party is responsible for failure or delay caused by events beyond reasonable control, such as infrastructure or provider outages, serious illness, or other significant disruption. We will notify you promptly and agree a revised plan.
Notices
Notices under these terms must be in writing and sent by email to hello@converant.co.uk or to the address you have given us. Email notices take effect on the next working day after sending.
Governing law and disputes
The governing law and courts for these terms are not yet fixed and depend on the contracting entity being confirmed: [TO CONFIRM — governing law and courts — pending confirmation of the contracting entity/operator].
Before starting proceedings, please contact us so we can try to resolve the matter directly.
